Video Clipper Local — Terms of Use
This is a reference translation, provided so that the terms can be read in English. The Japanese text is the sole governing version, and these terms are governed by Japanese law. Where the two differ, the Japanese text applies.
1. What this is, and who you are contracting with
This is a licence to use local software for macOS and Windows, provided to the buyer by 株式会社honkoma. Windows availability follows the real-device qualification status shown on the product page. It is not sold or warranted by OpenAI, YouTube, Apple, Microsoft or any other third party.
2. Licence
One named buyer is granted a non-exclusive, non-transferable right to use the version they bought on up to three computers they control. An organisation buying this must name a single user. Commercial use of what the software produces assumes the buyer has lawfully cleared the rights in the source video, audio, likenesses, trade marks and anything else belonging to someone else.
3. Modification and redistribution
The buyer may modify the software with Codex or similar tools, for their own use only. Reselling, redistributing, publishing, sharing, lending or sublicensing the software, its source or the skill — modified or not — is not permitted. Parts the buyer has modified fall outside ordinary support.
4. Purchase licence and anti-piracy measures
The distributed archive records, in several places, a purchase licence ID containing no name or email address, the product, version and update expiry, and a signature. These are used to trace the source of a leak, to provide legitimate updates, re-downloads and support, and to respond to misuse. There is no periodic online activation and no remote disabling: a legitimate copy already downloaded is never switched off. Removing or altering the identifiers does not lift the restriction on redistribution.
5. External services and data
Whisper and FFmpeg processing, and the video files themselves, stay on the buyer’s computer. Candidate text and the minimum text and settings needed for natural-language edits are sent through the buyer’s own Codex CLI/App Server login, under the buyer’s agreement and usage limits with OpenAI. Codex access and model API charges are not included in this purchase.
6. Updates, compatibility and support
Official updates are provided for 12 months from purchase. A version already obtained is not disabled when that period ends. What is covered is the behaviour, at the time of supply, on the environments listed in the requirements; perpetual compatibility with future versions of macOS, Windows, Codex, YouTube, Python, FFmpeg or anything else outside our control is not guaranteed. During the update period we will make reasonable efforts to publish compatibility information and corrected builds.
7. Refunds, defects and liability
A cancellation before the download has started, and any duplicate charge, are refunded in full once confirmed with support. Because of the nature of a digital product, a change of mind after the download has started is not refunded. However, if a serious defect attributable to the seller prevents the main functions from working on a machine that meets the stated requirements, we will first repair it, supply an alternative build or help the buyer use it; if that does not resolve matters within a reasonable period, the purchase is refunded.
Where the seller is liable, damages are limited to the price paid for the product, except in cases of intent or gross negligence, injury to life or body, or anything else that cannot be limited by law. Where mandatory consumer legislation says otherwise, that legislation prevails.
8. Prohibited use and suspension
The software must not be used to infringe anyone’s rights, for unlawful surveillance or impersonation, to distribute malware, to circulate this product without authorisation, or for any other unlawful purpose. Where a refund, a chargeback, misuse or a serious breach is established, the seller may suspend re-downloads, official updates and support. Copies already downloaded are never deleted remotely.
9. Governing law and disputes
These terms are governed by Japanese law. If a dispute arises we will first discuss it in good faith through the support address. Nothing here removes a consumer’s statutory venue or any other mandatory protection.
