SELLER TERMS
SkillDock Seller Terms
This is a reference translation, provided so that the terms can be read in English. The Japanese text is the sole governing version, and these terms are governed by Japanese law. Where the two differ, the Japanese text applies.
Seller onboarding is currently by invitation and is limited to individuals and businesses based in Japan. We are not accepting sellers based outside Japan at this time.
1. SkillDock is the seller
The buyer’s contract is with honkoma Inc. (SkillDock), not with you. You grant SkillDock the right to reproduce, distribute and sell the skill we have approved, and SkillDock sells it to buyers as its own product. The price, the terms of supply, the refund terms and the support contact are stated on the skill’s page and on the final confirmation screen.
It follows that refunds, payment processing fees, chargebacks, consumption tax and the disclosures Japanese law requires of a seller are all ours. You are not required to deal with buyers directly.
2. What we pay you
For each completed sale we record your share at the rate set for that skill — 80% of the sale price by default — and pay it monthly, closing at the end of the month and paying on the 15th of the next. This is a debt SkillDock owes you, not the buyer’s money passing through us.
We currently accept only individual and business sellers based in Japan. We ask for the tax information and documents required for the arrangement and apply withholding or other treatment where Japanese law requires it.
3. Identity and business verification
Before listing, we ask for identity or corporate verification, contact details, bank details and tax information. We hold these to pay you and to meet our own legal obligations; they are not shown on the purchase page. A skill whose checks are incomplete cannot be published or sold.
4. What may be listed
Skills, software, templates, MCP servers and APIs, data and instructional material that the seller has the right to provide. Anything that infringes another party’s copyright, trade marks, trade secrets, privacy or terms of service is prohibited, as is malware, anything designed to harvest credentials, and anything that facilitates unlawful activity.
5. Open source and third-party components
Sellers must check the licences and commercial-use conditions of any open source, models, data, assets and external services they bundle or rely on, and pass the required notices, source offers, copyright statements and conditions on to buyers. SkillDock may ask for evidence or corrections, and may unpublish a listing whose position cannot be established.
6. Descriptions, support and updates
State the price, the pricing model, the requirements, who pays for AI and API usage, what data is transmitted, when it is delivered, how many devices may be used, the update period, the refund terms and the scope of support, accurately. Claims that locally modifiable code can be fully protected against copying, or that its runs can always be counted, are misleading and are not permitted.
7. Payment, fees and settlement
Before sales begin, your rate, when you are paid, any holds and any withholding are shown in the seller’s dashboard and agreed there. SkillDock does not register a Stripe Price by hand for each skill: the amount charged is generated from the approved catalogue. Sellers currently accepted in Japan are paid through Stripe Connect.
8. Refunds, disputes and suspension
SkillDock refunds buyers and handles them first. You are asked to help investigate defects and to explain the rights position. Where there is a refund, a chargeback, an infringement claim, a serious defect or a breach of these terms, SkillDock may suspend sales, re-downloads, updates and payments, and may ask for material for its investigation. Where a refund or a claim is your responsibility, SkillDock may recover it from you.
9. Buyer data
Sellers may not use buyer data beyond what fulfilment and support require. Passwords, cookies, one-time codes, API keys and other credentials must never be collected through a skill or through support. Per-buyer identifiers are for tracing unauthorised distribution and similar purposes only; names and email addresses must not be embedded in what is distributed.
10. Review, suspension and withdrawal
SkillDock checks listings against the law, payment provider requirements, security, third-party rights and the accuracy of what is claimed, and may require changes, unpublish a listing or end its sale. After a listing ends, existing obligations to buyers who already own it — continued use of the version they have, refunds, updates and support — are honoured for the period stated and as the law requires.
